These Artist Terms and Conditions (“Terms”) govern the creation, compilation, display, maintenance, moderation, verification, management, facilitation, and use of artist profiles and related services on the platform operated under the brand name “SOS Party” by Stayonskill Technologies Private Limited (“Platform”). These Terms shall apply, to the extent applicable, to all artists, performers, creators, speakers, influencers, public figures, talent representatives, agencies, managers, or any other persons or entities whose profiles are displayed on, interact with, or otherwise engage with the Platform in any manner whatsoever (collectively referred to as the “Artist(s)”).
Without prejudice to the generality of the foregoing, these Terms shall apply to: (i) all Artists having Verified Profiles on the Platform; (ii) all Artists having Agency-Verified / Agency-Managed Profiles on the Platform; (iii) all Artists having Informational or Unverified Profiles maintained or displayed by the Platform in accordance with these Terms; and (iii) all Artists who participate in, perform at, respond to, negotiate, collaborate with, or otherwise avail any services, opportunities, inquiries, engagements, campaigns, or commercial arrangements facilitated through the Platform, irrespective of whether such Artist has an existing profile on the Platform.
The Platform may, in furtherance of its role as an informational, discovery, and inquiry facilitation platform, create, compile, maintain, display, update, moderate, or remove Informational or Unverified Profiles using publicly available information, publicly accessible sources, information received from users, event organizers, agencies, industry references, prior interactions, third-party sources, or any other lawful means. The creation or display of such profile shall not, by itself, create or imply any agency, representation, endorsement, sponsorship, exclusivity, employment, partnership, management arrangement, or other representative relationship between the Platform and the concerned Artist.
These Terms shall become immediately applicable to every Artist having a Verified Profile and to every Artist who directly engages with, participates in, performs through, negotiates with, responds to inquiries through, or otherwise establishes any commercial or professional relationship with the Platform, irrespective of whether such Artist previously maintained any profile on the Platform.
Where any Artist Profile is verified, approved, managed, or otherwise represented to the Platform by an agency, manager, management company, representative, or other intermediary (“Agency/Representative”), the Platform may rely upon the information, confirmation, approval, and representation provided by such Agency/Representative in relation to the Artist and the relevant profile. Having regard to the informational, discovery-based, and inquiry facilitation nature of the Platform, the Platform does not undertake to independently investigate or verify the appointment, authority, mandate, management arrangement, booking rights, or exclusivity, if any, of such Agency/Representative in relation to the concerned Artist.
The designation or treatment of a profile on the basis of information or representation received from an Agency/Representative shall not constitute any representation, warranty, certification, or guarantee by the Platform regarding the validity, scope, continuing existence, or exclusivity of the relationship between such Agency/Representative and the concerned Artist. Any person or entity making such representation shall remain responsible for the accuracy and validity thereof and for any consequences arising from any false, inaccurate, unauthorized, misleading, expired, withdrawn, or disputed representation.
In the case of Informational or Unverified Profiles, the Platform may, wherever reasonably practicable, communicate the creation or existence of such profile to the concerned Artist or to any agency, manager, representative, or contact details reasonably believed by the Platform to be associated with such Artist, and provide an opportunity to claim, verify, update, correct, or seek removal of such profile. Where no objection or removal request is received within the period specified in such communication, or where no such period is specified, within a reasonable period thereafter, the concerned Artist shall be deemed to have acknowledged the existence and continued maintenance of such profile and accepted the applicability of these Terms, and the Platform shall be entitled to continue displaying and maintaining such profile in accordance with these Terms, its internal policies, and applicable laws until a valid request to the contrary is received.
Nothing contained herein shall restrict the Platform from creating, maintaining, moderating, updating, categorizing, displaying, correcting, verifying, suspending, or removing any profile in accordance with these Terms, its internal policies, and applicable laws, nor shall anything contained herein prejudice the right of any Artist to subsequently claim, verify, correct, update, object to, or seek removal of any profile through the mechanisms prescribed by the Platform.
The Platform operates as an informational, discovery-based, and inquiry facilitation platform intended to enable users, event organizers, businesses, brands, and other interested persons to explore artists, performers, public figures, venues, and event-related opportunities. The primary function of the Platform is to facilitate discovery, visibility, and initial communication between users and Artists.
The Platform does not operate as an automatic booking platform and does not generate or confirm bookings, quotations, commercial terms, availability, or engagements automatically through mere display or listing of any Artist profile. Any inquiry submitted through the Platform is merely an expression of interest and may, subject to the discretion of the Platform, be forwarded to the concerned Artist or their authorized representatives for consideration. Any engagement, quotation, appearance, or performance shall remain subject to the independent consent, confirmation, availability, and commercial approval of the concerned Artist.
Unless expressly agreed through a separate written agreement, the Platform does not act as a talent management agency, exclusive booking agent, legal representative, employer, manager, or authorized representative of any Artist listed on the Platform. The display of any Artist profile, image, content, name, likeness, or information on the Platform shall not, by itself, imply any endorsement, exclusivity, partnership, affiliation, authorization, sponsorship, management arrangement, or representative relationship between the Platform and the concerned Artist.
The Platform may receive information, approvals, confirmations, or representations from Artists, agencies, managers, representatives, management companies, booking agencies, or other intermediaries concerning the Artist and may rely upon such information for profile management, inquiry facilitation, communication, negotiation, and related purposes. The Platform does not undertake to independently verify the contractual, managerial, representative, booking, or exclusive relationship, if any, between an Artist and any such person or entity.
The Platform may maintain verified profiles, artist-managed profiles, and unverified informational profiles based on publicly available information solely for informational, discovery, reference, and inquiry facilitation purposes, subject to applicable laws, Platform policies, and rights of concerned parties.
For operational, informational, and service facilitation purposes, the Platform may maintain different categories of Artist profiles. The categorization of any profile shall be determined solely by the Platform in accordance with its internal policies and may be modified from time to time.
A "Verified Profile" means a profile which has been claimed, verified, authorized, managed, approved, or otherwise authenticated by the concerned Artist or their duly authorized representative, or which the Platform, in its sole discretion, designates as verified based upon its internal verification procedures. Verified Profiles may be updated, managed, or controlled by the concerned Artist or their authorized representatives, subject to these Terms and the Platform’s policies.
The verification of a profile by the Platform shall only indicate that the concerned profile has undergone a verification or onboarding process as per the internal procedures of the Platform and shall not, by itself, create any employment, agency, exclusivity, partnership, talent management, or representative relationship between the Platform and the concerned Artist unless expressly agreed through a separate written arrangement.
An “Agency-Verified / Agency-Managed Profile” means a profile in respect of which an agency, manager, management company, representative, booking agency, or other intermediary (“Agency/Representative”) has provided, approved, confirmed, or otherwise represented information to the Platform concerning the Artist or its ability to act, communicate, coordinate, or facilitate engagements on behalf of the Artist, and the Platform has classified the profile under this category in accordance with its internal procedures.
The Platform may rely upon the information, approval, confirmation, or representation provided by such Agency/Representative for the purposes of maintaining the profile and facilitating inquiries, communications, negotiations, and potential engagements. The Platform does not, by such classification, undertake to independently verify or certify the appointment, authority, mandate, management arrangement, booking rights, or exclusivity, if any, of such Agency/Representative in relation to the Artist.
Where an Agency/Representative represents that it is authorized or exclusively authorized to act for or commercially represent an Artist, such representation shall be treated as a representation made by the Agency/Representative to the Platform. The Agency/Representative shall remain responsible for the accuracy and validity of such representation and shall promptly notify the Platform of any material change affecting the same.
The designation of a profile as an Agency-Verified / Agency-Managed Profile shall not constitute any representation, warranty, certification, or guarantee by the Platform that the concerned Agency/Representative is in fact authorized, appointed, or exclusive representative of the Artist.
An "Informational" or "Unverified Profile" means a profile created, submitted, compiled, imported, displayed, maintained, moderated, or otherwise made available on the Platform by or through the Platform, the concerned Artist, users, event organizers, agencies, managers, promoters, third-party service providers, technology integrations, publicly available information, publicly accessible sources, prior interactions, industry references, or any other lawful source or mechanism adopted by the Platform, which has not yet been claimed, verified, authorized, or authenticated by the concerned Artist or their authorized representative. Such profiles are maintained solely to facilitate artist discovery, enable users to submit inquiries, and improve the accessibility of information available through the Platform, and shall not, by themselves, create or imply any agency, representation, endorsement, sponsorship, exclusivity, employment, partnership, management arrangement, or other representative relationship between the Platform and the concerned Artist.
An Informational or Unverified Profile may continue to remain classified as such until the concerned Artist or their duly authorized representative completes the verification or onboarding requirements prescribed by the Platform in accordance with its internal policies and procedures, irrespective of the manner in which such profile was created, submitted, or made available on the Platform.
Reclassification of Profiles:- An Informational or Unverified Profile may subsequently be designated, classified, converted, or treated as a Verified Profile where the concerned Artist or their authorized representative claims or verifies such profile, submits or approves profile information, or establishes a direct professional or commercial relationship with the Platform by participating in any inquiry, negotiation, event, campaign, appearance, collaboration, commercial engagement, or any other activity facilitated through the Platform. Such reclassification shall be carried out in accordance with the Platform's internal policies and verification procedures and shall not affect the continued applicability of these Terms. An Agency-Verified / Agency-Managed Profile may also be reclassified, suspended, or converted where the information or representation provided by the concerned Agency/Representative is withdrawn, disputed, materially changed, or otherwise ceases to satisfy the Platform’s internal requirements.
The Platform recognizes that Artists may associate or interact with the Platform through different modes and at different stages. This Clause explains the various modes through which the Platform interacts with different categories of Artists and the manner in which these Terms operate in relation to such interactions. The applicability of these Terms shall remain governed by Clause 1 and the other relevant provisions of these Terms.
Without prejudice to the generality of the foregoing:
For the avoidance of doubt, the applicability of these Terms shall not, by itself, create or imply any agency, employment, partnership, exclusivity, management arrangement, representation, endorsement, or other similar legal relationship between the Platform and the concerned Artist, except where expressly agreed in writing by the parties.
Nothing contained in this Clause shall prejudice the Platform’s right to create, maintain, display, classify, verify, moderate, update, suspend, archive, or remove Artist Profiles in accordance with these Terms, its internal policies, and applicable law.
The Platform may, at its sole discretion, create, compile, publish, maintain, modify, update, categorize, verify, suspend, archive, or remove Artist Profiles for the purpose of facilitating artist discovery, enabling user inquiries, improving user experience, and operating its services in an efficient manner.
Artist Profiles may be created or maintained using information voluntarily provided by the concerned Artist or their authorized representatives, information submitted by users, event organizers, agencies, managers, promoters, or other third parties, publicly available information, publicly accessible sources, prior interactions with the Platform, technology integrations or imports, or any other information lawfully obtained by the Platform. The Platform shall be entitled to reasonably edit, standardize, categorize, format, summarize, or update such information for consistency, operational efficiency, or presentation purposes, provided that the Platform does not knowingly publish materially false or misleading information.
An Artist or their duly authorized representative may, at any time, request to claim or verify an existing profile by furnishing such information, documents, declarations, authorizations, or other verification material as may reasonably be required by the Platform. The Platform shall have the sole discretion to accept, reject, or seek additional information in relation to any such request and may complete the verification process subject to its internal verification policies.
Where verification, approval, or profile management is undertaken through an Agency/Representative, the Platform may require such Agency/Representative to provide such information, confirmation, declaration, authorization, or other material as the Platform may reasonably consider appropriate. The Platform may rely upon the information and representations so provided and shall not be required to independently investigate or determine the contractual, managerial, representative, booking, or exclusive relationship between the Agency/Representative and the concerned Artist.
The Platform may also permit an Artist or their authorized representative to update, supplement, correct, or manage profile information from time to time. The Platform reserves the right to review, moderate, edit, defer, or reject any proposed modification where it reasonably considers such modification to be inaccurate, misleading, unlawful, defamatory, infringing, inconsistent with its internal policies, or otherwise prejudicial to the integrity or operation of the Platform.
Any request for removal of a profile shall be considered by the Platform in accordance with these Terms, its internal policies, and applicable law. The Platform may require reasonable proof of identity, authority, or ownership before acting upon any such request and may retain such information, records, or profile data as may be necessary to comply with legal obligations, resolve disputes, prevent fraud, preserve historical transaction records, or protect its legitimate business interests.
Nothing contained herein shall obligate the Platform to create, verify, continue displaying, or maintain any particular profile, nor shall anything herein restrict the Platform from declining, suspending, archiving, merging, reclassifying, or permanently removing any profile where it considers such action appropriate in accordance with these Terms, its internal policies, or applicable law. The Platform may also reclassify, suspend, restrict, or remove an Agency-Verified / Agency-Managed Profile where the relevant representation or information is disputed, withdrawn, materially changed, or otherwise ceases to satisfy the Platform’s internal requirements.
The Platform operates as an informational discovery and inquiry facilitation platform. The Platform does not, unless expressly agreed in writing, act as an agent, manager, representative, employer, promoter, or exclusive booking agency of any Artist, nor does it guarantee the availability, willingness, acceptance, performance, pricing, suitability, or engagement of any Artist.
Users may submit inquiries regarding Artists through the Platform. Upon receipt of an inquiry, the Platform may, wherever reasonably practicable, facilitate the transmission of such inquiry or expression of interest to the concerned Artist or to any agency, manager, representative, management company, or other publicly identifiable or reasonably ascertainable contact associated with the concerned Artist or other intermediary through whom the concerned Artist has been represented to the Platform. The Platform shall not be obligated to forward every inquiry and may, in its sole discretion, decline, filter, prioritize, or discontinue any inquiry.
The submission or forwarding of an inquiry shall not constitute a booking, confirmation, acceptance, offer, contract, or commitment by either the Platform or the concerned Artist. Any booking, engagement, performance, collaboration, appearance, campaign, or commercial arrangement shall become effective only upon the express confirmation of the concerned Artist or their duly authorized representative and the fulfillment of such commercial, contractual, operational, or payment requirements as may be mutually agreed by the relevant parties. Until such express confirmation and fulfillment of the applicable requirements, neither the Platform nor the concerned Artist shall be deemed to have entered into any binding contract or legal obligation in relation to the proposed engagement, and either party may decline or discontinue the proposed engagement without incurring any liability, unless otherwise expressly agreed in writing.
The Platform may facilitate communications, negotiations, exchange of information, scheduling discussions, commercial discussions, execution of booking documentation, collection or transmission of relevant information, coordination of logistics, or other incidental services solely for the convenience of the parties. Unless expressly agreed otherwise in writing, such facilitation shall not be construed as creating any agency, fiduciary, partnership, employment, representative, or managerial relationship between the Platform and the Artist.
Where an inquiry or engagement is communicated or coordinated through an Agency/Representative, the Platform may treat such Agency/Representative as the relevant contact for the concerned Artist on the basis of the information or representation provided to the Platform, without independently determining the legal or contractual relationship between the Artist and such Agency/Representative.
The Artist acknowledges that the Platform may receive, process, record, communicate, and relay inquiries, booking requests, negotiations, confirmations, cancellations, revisions, logistical information, commercial terms, and other communications relating to prospective or confirmed engagements for operational, administrative, customer support, evidentiary, and business purposes.
The Platform reserves the right to refuse, suspend, cancel, withdraw, postpone, or discontinue any inquiry, booking process, or facilitation activity where it reasonably considers such action necessary for operational reasons, compliance with applicable law, enforcement of these Terms, prevention of fraud or abuse, protection of the Platform’s legitimate business interests, or any other reasonable cause. The Platform shall not be liable for any booking which is not accepted, confirmed, completed, or performed by the concerned Artist or user, except to the extent expressly agreed in writing.
Artists, representatives, agencies, managers, and other persons interacting with the Platform shall ensure that any statements, communications, promotional materials, endorsements, advertisements, social media posts, public comments, press releases, interviews, digital publications, or other forms of communication made in connection with the Platform, any event, engagement, campaign, or any relationship arising therefrom are accurate, lawful, and not misleading.
No person shall make or publish any false, misleading, defamatory, disparaging, malicious, or unauthorized statement or representation concerning the Platform, its affiliates, users, artists, clients, event organizers, personnel, or associated parties, nor falsely suggest any affiliation, endorsement, representation, or commercial association that does not exist.
In the event of any grievance, dispute, misunderstanding, objection, complaint, or disagreement arising out of any profile, event, content, communication, engagement, or relationship with the Platform, the concerned party shall first endeavor to raise such concerns directly with the Platform and provide a reasonable opportunity for clarification, correction, removal, or resolution before resorting to public statements or publications which may adversely affect the goodwill, reputation, or legitimate interests of the Platform or any other concerned party.
Nothing contained herein shall restrict any person from exercising lawful rights or making disclosures required by law. However, the Platform reserves the right to seek clarification, correction, withdrawal, or appropriate legal remedies against any false, misleading, defamatory, malicious, or unauthorized representations affecting the reputation, goodwill, or legitimate interests of the Platform or any concerned party.
Artists shall ensure that all information, content, credentials, contact details, social media handles, photographs, videos, representations, and other materials provided, approved, uploaded, or communicated in connection with the Platform are accurate, complete, lawful, and not misleading. Artists shall promptly notify the Platform of any material changes affecting their profiles, availability, representations, or professional information.
Artists shall conduct themselves in a professional manner and shall comply with all applicable laws, industry standards, event requirements, and reasonable instructions communicated in relation to any inquiry, campaign, appearance, collaboration, or engagement facilitated through the Platform. Artists shall refrain from engaging in any unlawful, fraudulent, misleading, abusive, defamatory, discriminatory, unethical, or objectionable conduct which may adversely affect the Platform, users, clients, event organizers, or other concerned parties.
Artists shall not impersonate, falsely identify themselves as, or falsely claim to represent any other person, Artist, agency, manager, representative, or entity, nor shall they falsely claim any affiliation, endorsement, authorization, verification, sponsorship, partnership, or other relationship with the Platform or any third party. Artists shall ensure that all communications and representations made through or in connection with the Platform accurately reflect their identity, authority, and capacity.
Where an Artist, agency, manager, representative, management company, booking agency, or other intermediary provides information or represents to the Platform that it is authorized to act on behalf of an Artist, such person shall be responsible for ensuring that such representation is accurate and valid. Where such person represents that it has exclusive or specific authority in relation to the Artist, it shall be responsible for the accuracy and validity of such representation and shall promptly inform the Platform of any material change affecting such authority.
Artists shall honor confirmed commitments, cooperate in good faith in relation to event planning and execution, and perform their obligations diligently, professionally, and in accordance with mutually agreed terms. Artists shall remain solely responsible for obtaining and maintaining all permissions, approvals, licenses, registrations, and authorizations necessary for their performances, appearances, content, and professional activities.
Artists shall not upload, communicate, or circulate any content, material, statement, or information that infringes intellectual property rights, publicity rights, personality rights, privacy rights, contractual obligations, or applicable laws. Artists shall further ensure compliance with all event-specific obligations, timelines, schedules, safety requirements, and commercial commitments applicable to the concerned engagement, subject to any separate agreement executed between the parties.
Upon confirmation of any event, engagement, appearance, campaign, collaboration, or performance through the Platform, the concerned Artist shall be responsible for attending and performing such engagement in accordance with the mutually agreed terms, schedules, timelines, technical requirements, and other event-specific arrangements communicated between the parties.
Artists shall maintain professionalism, punctuality, cooperation, and reasonable standards of conduct throughout the planning, coordination, and execution of the event and shall cooperate in good faith with the Platform, event organizers, clients, venue operators, technical teams, and other concerned parties for the successful conduct of the engagement.
Artists shall promptly communicate any circumstances affecting their availability, performance, travel, health, scheduling, or ability to fulfill the engagement and shall take reasonable steps to minimize inconvenience, disruption, losses, or adverse consequences to the Platform and concerned parties. Unless otherwise agreed in writing, Artists shall remain responsible for ensuring their timely attendance, preparedness, and compliance with the requirements applicable to the concerned engagement.
Where any event, engagement, appearance, campaign, collaboration, or performance is coordinated or confirmed through an Agency/Representative, the Platform may rely upon the confirmations and representations made by such Agency/Representative on behalf of the Artist. The Platform shall not be responsible for independently determining the authority or contractual relationship of such Agency/Representative with the Artist.
Unless otherwise expressly agreed through a separate agreement, event-specific arrangement, commercial understanding, or cancellation policy applicable to a particular engagement, the provisions contained herein shall apply by default.
In the event an Artist cancels a confirmed engagement, refuses to perform, becomes unavailable without reasonable cause, or otherwise fails to fulfill a confirmed commitment, the Artist may be liable to refund any amounts received in connection with such engagement and may further be responsible for losses, costs, liabilities, claims, refunds, penalties, damages, reputational harm, replacement expenses, or third-party claims arising as a consequence thereof.
Where an Artist fails to attend, delays attendance, or otherwise does not perform a confirmed engagement without prior notice, lawful justification, or circumstances constituting force majeure, such conduct may be treated as a no-show or breach of commitment. In such circumstances, the Platform reserves the right to suspend or terminate the Artist’s association with the Platform, remove or restrict profiles, withhold pending payments, refuse future engagements, and recover or seek compensation for losses, liabilities, claims, damages, refunds, or expenses incurred by the Platform, users, clients, event organizers, or third parties.
Where any cancellation, refund, chargeback, liability, claim, or loss arises wholly or partly due to the default, cancellation, refusal to perform, misconduct, misrepresentation, breach, or other act or omission of the Artist, the Platform shall be entitled, to the extent permitted by applicable law, to recover, deduct, adjust, set-off, or seek reimbursement from the Artist of any commissions, service charges, facilitation fees, refunds, costs, expenses, liabilities, penalties, damages, or other amounts incurred or suffered by the Platform in connection therewith.
Where any cancellation, non-performance, refund, dispute, claim, loss, or liability arises from any representation made by an Agency/Representative concerning its authority to act on behalf of an Artist, the concerned Agency/Representative shall remain responsible for the consequences arising from any false, inaccurate, unauthorized, misleading, expired, withdrawn, or disputed representation and shall indemnify the Platform against any resulting claim, loss, liability, cost, or expense.
Where a client, organizer, or any third party cancels an event or engagement, the consequences relating to refunds, cancellation charges, forfeiture, retention, or settlement of amounts shall be governed by the applicable agreement or commercial understanding between the concerned parties. In the absence of any separate arrangement to the contrary, the Artist shall refund the amounts received in respect of such engagement, subject to applicable deductions, expenses already incurred, and any other mutually agreed terms.
Nothing contained herein shall prejudice the rights of the parties to agree upon separate cancellation terms, refund structures, force majeure provisions, or commercial arrangements, which shall prevail to the extent of inconsistency with these Terms.
All commercial terms relating to fees, commissions, advances, deposits, settlements, reimbursements, payment schedules, deductions, taxes, or other financial arrangements shall be governed by the applicable event-specific understanding, quotation, invoice, agreement, or commercial arrangement between the concerned parties.
The Platform may, where applicable, facilitate collection, receipt, transfer, settlement, or disbursement of amounts in relation to inquiries, events, appearances, campaigns, collaborations, or other engagements and may retain, deduct, or adjust commissions, service charges, taxes, expenses, penalties, refunds, reversals, or other amounts in accordance with applicable arrangements and laws.
Unless expressly agreed otherwise in writing, the Platform acts solely as a payment facilitation intermediary for operational convenience and shall not be deemed to act as a trustee, escrow agent, fiduciary, banker, custodian, or agent in relation to any monies received, held, processed, transferred, or disbursed in connection with any inquiry, booking, engagement, or commercial arrangement. The receipt, processing, transfer, or disbursement of any such amounts by the Platform shall not create any fiduciary obligation or relationship in favour of the Artist or any other person.
Where any payment, advance, settlement, fee, commission, or other amount is received, processed, or communicated through an Agency/Representative on behalf of an Artist, the Platform may rely upon the representation of such Agency/Representative that it is entitled to act in that capacity. The Platform shall not be responsible for independently determining the authority of such Agency/Representative to receive or deal with such amounts, and any dispute between the Artist and such Agency/Representative concerning such authority shall be between the concerned parties.
Artists shall remain solely responsible for payment of applicable taxes, duties, levies, statutory compliances, and reporting obligations arising out of their professional activities, income, performances, or commercial engagements. The Platform shall not be responsible for any tax liabilities, penalties, or non-compliance attributable to the Artist.
Settlement timelines shall be subject to realization of funds, completion of the concerned engagement, verification processes, deductions, refunds, chargebacks, disputes, or any other applicable conditions. The Platform reserves the right to withhold, defer, or adjust settlements in the event of any dispute, cancellation, refund claim, fraud, chargeback, unauthorized transaction, breach of these Terms, or any circumstances exposing the Platform to financial or legal risk.
In the event of fraudulent transactions, unauthorized payments, payment reversals, chargebacks, misrepresentations, or any payment-related dispute attributable to the Artist or any person acting on behalf of the Artist, the Platform shall be entitled to recover, adjust, set off, withhold, or seek reimbursement of any losses, liabilities, charges, claims, expenses, penalties, or damages suffered by the Platform in connection therewith.
Nothing contained herein shall prevent the parties from entering into separate commercial arrangements, agreements, revenue-sharing mechanisms, commission structures, or payment terms, which shall prevail over these Terms to the extent of any inconsistency.
Unless otherwise expressly agreed in writing, all rights in performances, recordings, photographs, audio recordings, video recordings, livestreams, backstage content, promotional materials, interviews, social media content, event footage, and other media associated with any event or engagement shall remain subject to the respective rights, permissions, licenses, and arrangements applicable between the concerned parties.
The Platform may, subject to applicable laws and any specific restrictions communicated by the concerned Artist or rights holder, use, reproduce, publish, repost, share, display, or refer to photographs, event footage, promotional material, social media posts, event highlights, testimonials, collaborations, campaign materials, and publicly available content relating to events, engagements, appearances, campaigns, or collaborations facilitated through the Platform for informational, portfolio, marketing, promotional, archival, publicity, and business purposes. Where any such content, approval, permission, restriction, or instruction is provided by an Agency/Representative on behalf of an Artist, the Agency/Representative shall be responsible for ensuring that it is authorized to provide the same.
Nothing contained herein shall be construed as transferring ownership of any copyright, performance right, personality right, publicity right, trademark, or other intellectual property rights from the concerned Artist or rights holder to the Platform. Where any separate agreement, event-specific arrangement, or written understanding provides otherwise, such arrangement shall prevail.
The Platform shall not be responsible for recordings, broadcasts, livestreams, reposts, or content generated, published, or circulated by third parties, event organizers, media agencies, sponsors, attendees, social media users, or external platforms. Any objections, restrictions, permissions, or licensing requirements in relation to recordings or promotional usage may be communicated to the Platform, which may review and take appropriate action in accordance with applicable laws and internal policies.
All copyrights, trademarks, service marks, trade names, logos, personality rights, publicity rights, images, performances, recordings, videos, music, photographs, literary works, artistic works, and other intellectual property rights belonging to Artists or third parties shall remain vested exclusively with their respective owners. Nothing contained herein shall be construed as creating any transfer, assignment, waiver, or relinquishment of such rights in favor of the Platform.
In relation to Verified Profiles, the Artist grants the Platform a limited, non-exclusive, revocable, worldwide, royalty-free right to use, display, reproduce, host, publish, distribute, promote, and communicate such information, content, images, videos, recordings, and materials as may be voluntarily provided, approved, or made available by the Artist or its authorized representatives, solely for informational, discovery, promotional, portfolio, marketing, and inquiry facilitation purposes. Where any such information, content, image, video, recording, or material is provided or approved by an Agency/Representative on behalf of an Artist, the Agency/Representative shall be responsible for ensuring that it has the requisite authority to provide or approve such material for the purposes contemplated herein.
In relation to Unverified Profiles, the Platform may display limited publicly available information, references, names, images, social media links, and other publicly accessible materials solely for informational, reference, visibility, discovery, and inquiry facilitation purposes. The Platform does not claim ownership over such materials and does not assert any proprietary rights therein. The Platform does not represent, warrant, guarantee, or undertake that any information, references, names, images, social media links, or other materials displayed in relation to an Unverified Profile are accurate, complete, current, authentic, or endorsed by the concerned Artist, except to the extent expressly verified, confirmed, or approved by the Artist or their authorized representative.
Where an Agency/Representative provides, approves, authorizes, or permits the use of any photograph, image, video, recording, trademark, promotional material, or other intellectual property on behalf of an Artist, the Platform shall be entitled to rely upon such approval or permission and shall not be required to independently verify the authority of such Agency/Representative to provide the same. Any dispute arising from the absence or insufficiency of such authority shall remain the responsibility of the concerned Agency/Representative, subject to the indemnity provisions contained herein.
The Platform may provide hyperlinks, embeds, previews, redirects, integrations, or references to content hosted on external platforms, including but not limited to YouTube, Instagram, Spotify, Facebook, or similar platforms. Such content shall remain hosted, controlled, and governed by the respective third-party platforms and rights holders, and the Platform shall not be responsible for the ownership, availability, or legality of such content.
Any person claiming infringement of intellectual property rights, unauthorized use, or violation of personality rights may notify the Platform through the prescribed grievance, complaint, or claim mechanism. Upon receipt of a bona fide complaint and subject to appropriate verification, the Platform may review, restrict, modify, remove, suspend, or take such action as may be deemed appropriate in accordance with applicable laws and internal policies.
The relationship between the Platform and the Artist is on a principal-to-principal and independent basis. Nothing contained in these Terms or arising out of any profile, inquiry, engagement, event, campaign, collaboration, payment, communication, or interaction through the Platform shall be construed to create any relationship of employer and employee, principal and agent, partnership, joint venture, fiduciary relationship, franchise, association, talent management arrangement, or any other representative relationship between the parties.
Unless expressly agreed through a separate written agreement, the Platform shall not be deemed to be the manager, exclusive booking agent, legal representative, employer, partner, or authorized representative of any Artist, and no Artist shall be entitled to represent itself as having any such relationship with the Platform.
The listing, display, verification, promotion, facilitation of inquiries, coordination of engagements, participation in events, or receipt of payments through the Platform shall not, by itself, create any exclusivity or restrict the Artist from independently engaging with other platforms, clients, managers, agencies, event organizers, or commercial opportunities. Likewise, the Platform shall remain free to facilitate engagements involving other artists, performers, or service providers.
Any exclusivity, representation, management arrangement, agency rights, or special commercial relationship between the Platform and an Artist shall arise only through an express written agreement executed separately between the concerned parties, and in the absence thereof, the parties shall continue to operate as independent entities.
The Platform shall not be responsible for determining or adjudicating the contractual, managerial, representative, booking, exclusive, or other relationship between an Artist and any Agency/Representative. Any classification of a profile as Agency-Verified / Agency-Managed is based upon information or representation received by the Platform and does not constitute a determination by the Platform regarding the legal rights or authority of such Agency/Representative.
The Platform reserves the right, at its sole discretion and without prior notice, to create, categorize, verify, edit, organize, format, update, moderate, restrict, suspend, deactivate, remove, archive, merge, consolidate or otherwise manage including reclassifying any profile, listing, content, media, communication, inquiry, account, or information appearing on or associated with the Platform.
Without limiting the foregoing, the Platform may review and take appropriate action against any content, material, profile, account, communication, or activity that is inaccurate, misleading, unlawful, infringing, defamatory, obscene, objectionable, harmful, manipulated, fraudulent, abusive, impersonating, or otherwise inconsistent with these Terms, applicable laws, platform policies, or legitimate business interests.
The Platform further reserves the right to comply with legal notices, takedown requests, court orders, governmental directions, intellectual property complaints, privacy claims, personality rights claims, or other lawful requests and may, in connection therewith, remove, restrict, disable, suspend, modify, or otherwise moderate any content, profile, or account without incurring any liability.
The Platform shall also have the right to determine the format, arrangement, visibility, categorization, verification status, presentation, and display of profiles, listings, content, and related information in accordance with its operational requirements, internal policies, and facilitative role.
The Platform may suspend, restrict, reclassify, or remove an Agency-Verified / Agency-Managed Profile where the information or representation forming the basis of such classification is disputed, withdrawn, materially changed, or otherwise ceases to satisfy the Platform’s internal requirements.
Where the Platform facilitates introductions, inquiries, negotiations, communications, campaigns, events, appearances, collaborations, or other commercial opportunities between Artists and users, clients, brands, event organizers, agencies, or third parties, the parties acknowledge the legitimate commercial interest of the Platform in such relationships.
Accordingly, during the subsistence of the relationship with the Platform and for a period of twelve (12) months thereafter, the Artist shall not knowingly circumvent, bypass, or deliberately exclude the Platform in relation to any engagement, transaction, event, campaign, or opportunity that was originally introduced, facilitated, sourced, or substantially developed through the efforts of the Platform, with the intent of avoiding commissions, service charges, or legitimate commercial interests of the Platform.
Nothing contained herein shall prevent the Artist from independently pursuing engagements, opportunities, or relationships that were not introduced, facilitated, or sourced through the Platform, nor shall this clause create any exclusivity or restraint on the professional activities of the Artist except to the limited extent necessary to protect the legitimate interests of the Platform.
The Artist/Agency/Representative agrees to indemnify, defend, and hold harmless the Platform, its promoters, directors, officers, employees, representatives, affiliates, agents, successors, and assigns from and against any claims, actions, proceedings, demands, losses, damages, liabilities, costs, expenses, penalties, settlements, and reasonable legal fees arising out of or relating to:
For the avoidance of doubt, the indemnity obligations under this Clause shall apply notwithstanding any subsequent dispute between an Artist and an Agency/Representative concerning the existence, scope, validity, duration, or exclusivity of the relationship represented by such Agency/Representative to the Platform.
The obligations contained in this clause shall survive the suspension, termination, or cessation of the Artist’s association with the Platform.
The Platform operates solely as an informational, discovery, and inquiry facilitation platform and does not assume responsibility for the acts, omissions, representations, conduct, availability, performance, cancellations, delays, defaults, or obligations of any Artist, agency, manager, representative, client, event organizer, venue, hotel, sponsor, user, or other third party.
The Platform shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, reputational, or economic losses, including loss of profits, loss of business opportunities, loss of goodwill, loss of anticipated savings, or similar damages arising out of or relating to any profile, inquiry, communication, booking, engagement, event, campaign, cancellation, dispute, delay, non-performance, third-party conduct, or other activity undertaken through or in connection with the Platform.
The Platform shall not be responsible for any inaccuracy, omission, unavailability, suspension, removal, modification, malfunction, interruption, or discontinuation of any third-party website, social media platform, payment gateway, communication service, streaming service, external integration, or other third-party service, nor for any content, representation, service, conduct, or action attributable to any third party.
In relation to Informational or Unverified Profiles, the Platform shall not be liable for any claim, dispute, loss, damage, liability, cost, or expense arising from or relating to the creation, compilation, display, maintenance, classification, modification, verification status, or continued availability of such profile, including any claim by an Artist or any other person that the Artist did not authorize, approve, create, manage, or consent to such profile. The Platform’s liability in respect of any such claim shall be NIL. The Platform shall, where appropriate and in accordance with its applicable procedures, be entitled to review, modify, restrict, suspend, or remove the concerned profile upon receipt of a valid objection, claim, or request.
The Platform shall likewise not be liable for any claim, dispute, loss, damage, liability, cost, or expense arising from or relating to the authority, appointment, mandate, representation, management rights, booking rights, or exclusivity, if any, of any agency, manager, management company, representative, booking agency, or other intermediary claiming to act on behalf of an Artist. The Platform does not undertake to independently verify or certify the existence, validity, scope, duration, or exclusivity of any such relationship and shall be entitled to rely upon the information, approval, confirmation, authorization, or representation provided by such agency, representative, or intermediary in the ordinary course of operating the Platform. Any subsequent dispute between an Artist and such agency, representative, or intermediary concerning such authority or relationship shall not, by itself, create any liability on the part of the Platform, and the liability of the Platform in respect thereof shall be NIL.
In relation to any booking, event, appearance, campaign, collaboration, performance, or other commercial engagement facilitated through the Platform, the aggregate monetary liability of the Platform, if any, arising directly from such specific engagement shall in no circumstances exceed the aggregate amount of commission, facilitation fee, service charge, or other economic consideration actually received and retained by the Platform from that specific engagement. For the avoidance of doubt, the liability cap shall not be calculated by reference to the total booking value, Artist’s fee, amount paid by the client or user, expenses incurred by any party, or any other amount which was not actually received and retained by the Platform as its own commission, fee, or commercial benefit from that specific engagement.
Where the Platform has not received and retained any commission, facilitation fee, service charge, or other economic consideration from the specific engagement giving rise to the claim, the monetary liability of the Platform in respect of such engagement shall be NIL.
Nothing contained in these Terms shall be construed as making the Platform responsible for the performance, non-performance, cancellation, misconduct, negligence, default, representations, or obligations of an Artist or any agency, representative, intermediary, client, event organizer, venue, hotel, or other third party.
Nothing contained herein shall exclude any liability which cannot legally be excluded under applicable law.
The Artist agrees to maintain the confidentiality of all non-public, proprietary, commercial, financial, technical, operational, strategic, or event-related information received from or relating to the Platform, its users, clients, event organizers, sponsors, agencies, or other concerned parties and shall not disclose, publish, reproduce, or utilize such information except to the extent necessary for the performance of the concerned engagement or as required by applicable law.
The obligations contained herein shall survive the completion, suspension, termination, or cessation of the relationship between the parties.
The Platform reserves the right, at its sole discretion and without prior notice, to suspend, deactivate, restrict, remove, delist, or terminate any profile, listing, account, access, or relationship with any Artist in the event of any breach of these Terms, misconduct, fraud, misrepresentation, or any dispute, withdrawal, expiry, termination, or material doubt concerning the authority or representation of an Agency/Representative, or infringement, unlawful activity, complaints, disputes, reputational concerns, operational requirements, legal notices, or any circumstances exposing the Platform to legal, commercial, or reputational risks.
The Artist may discontinue its association with the Platform and may request removal or deactivation of verified profiles, subject to completion of pending obligations, settlement of outstanding liabilities, and compliance with applicable laws and agreements.
Suspension, removal, or termination shall not affect any accrued rights, liabilities, obligations, indemnities, confidentiality obligations, intellectual property rights, payment claims, dispute resolution rights, or any provisions which by their nature are intended to survive such suspension or termination.
The Platform may also suspend, restrict, reclassify, or remove an Agency-Verified / Agency-Managed Profile where the information or representation provided by the concerned Agency/Representative is disputed, withdrawn, materially changed, or otherwise ceases to satisfy the Platform’s internal requirements.
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to applicable laws, the courts having territorial jurisdiction at Chandigarh, India, shall have exclusive jurisdiction in relation to any dispute, claim, proceeding, or matter arising out of or in connection with these Terms, the Platform, or any relationship contemplated herein.
